Hello, my name is Faiez Kirsten and I am a medical doctor. Now you
may immediately wonder why a doctor would write a book on
organizational or corporate culture. Well, the reason is that several
years ago I had an extremely negative career experience while working
in a corporation and it is this experience which prompted me to write
this book. So before I tell you more about the book it is important
that I tell you about this nasty experience.

You see I had been running a successful medical practice for many
years but due to changes in the environment (political, economic etc)
running a medical practice was becoming more and more difficult. And
since most of my patients were members of various medical aids or
medical insurance companies it was a daily battle to obtain payment
from these companies.

Now as a result of this rapidly changing environment a few colleagues
and I got together to strategize as to what would be the best way
forward. We decided that the best model of delivering primary
healthcare to private sector patients at the time would be through the
setting up of multidisciplinary healthcare centers. (Private patients
are those who have medical insurance, and those who do not but prefer
to be treated by a private medical practitioner - and pay cash for the
services). At these centers various primary health care services would
be available to patients, including general medical practitioner
services, physiotherapy services, dental services, occupational health
services etc.

Now our only problem was funding. And so we approached the CEO of an
investment company to see if his company would fund the project. He
was more than happy to do so and even made me an offer I could not
refuse, which included a job as a managing / project director of the
healthcare center development company - and a shareholder of it.
However having been a successful medical practitioner for many years -
although somewhat disillusioned by the impact of the changing
environment on my practice - I was very hesitant to leave the
practice. I preferred to run the project as an independent consultant.
The CEO however did not agree with this and preferred me to be a part
of the company rather that work outside of it. He felt that I could
add more value to the project and the company as an employee and
director given the fact that I had a wealth of experience in the
healthcare sector and was in the process of completing a post-graduate
degreee in business administration.

And so one evening while in my study I received a phone call from the
CEO when he once again asked me to join the company and once again
made me the offer. I said I would give it some more thought. After
thinking about this new opportunity I decided to accept his offer -
and that was my big mistake. Why? Because that decision completely
changed the course of my life! However not entirely in a bad way since
despite the many negative experiences I have had as a result of that
decision the positive ones probably outweigh the negative one's. For
example I have learnt much from that negative experience in the
company and grown personally more than what I had thought possible. I
also moved on to live and work abroad, worked on cruise ships (what a
great experience!) and had many other good experiences following that
nasty corporate experience.

THE EXPERIENCE

Anyway I will now briefly list the important points relating to this
negative experience before I go on to explain to you what this book is
all about. They are:

1. _I am invited by the CEO to manage and direct the
multidisciplinary clinic development project._

2. _A decision is made to purchase the CEO's previous medical
practice and now partly belonging to his sister. I am completely
__against this decision for obvious reasons but am outvoted._

3. _The company purchases the practice._

4. _We set up the first multidisciplinary clinic (the plan was to
initially develop 4 clinics)._

5. _The CEO's brother-in-law (husband of his sister from whom the
practice was purchased) is suddenly brought into the company without
any consultation with me. He starts directing and managing the
financial and other affairs of the company without my participation
although I am officially still the managing and project director of
the company._

6. _Our relationship sours as a result of this situation._

7. _I am unfairly dismissed._

8. _I take legal action. _

9. _I win the case overwhelmingly - actually the company consents to
judgment after realizing that it has no case and would be futile to
continue._

10. _The company agrees to pay me amount of 256 000 ZAR which was due
to me._

11. _ No payment has since been made._

12. _We consequently discover that the clinic had been sold back to
the original owner of the medical practice viz. the CEO's sister, for
an amount we have been unable to establish. This decision was taken
without informing me, a shareholder and director, of the company
(which I was at the time, and still am since at no time did I resign
as a director nor did I sell my shareholding in the company)._

13. _We also discover that the CEO's sister is now a director of the
company and that the company's name has been changed back to its
original shelf company name. _

14. _We decide to pursue the matter further, especially to determine
what happened to my 10% shareholding._

15. _We have difficulty with our pursuit because the share
certificate is in possession of the parent company, or at least its
healthcare subsidiary of which the company was in turn a subsidiary._

16. _We have further difficulty because the original and signed
shareholders agreement is also in possession of the healthcare
subsidiary and I only have an unsigned copy of the agreement in my
possession._

17. _We come up against a brick wall at all our attempts to retrieve
the share certificate and the original, signed shareholders
agreement._

18. _The multidisciplinary clinic has been a going concern since its
inception 9 years ago and has been generaing revenues in this period.
I, as a shareholder, have not benefited from its profits despite the
role I have played in its conception and development amongst other
factors which brought it to realization._

"SO WHAT DR. KIRSTEN?" I HEAR YOU ASK? "WHO CARES ABOUT YOUR BAD

CORPORATE CULTURE

Ok, so what was it about this company that caused me to encounter
such problems while working there? The answer of course is "Its
culture." How do I know this? Like I've said I was in the process of
completing a post-graduate degree in business administration and my
research involved the subject of corporate or organizational culture!
So I am very familiar with the subject. But more importantly my
research involved one of the subsidiaries of the investment holding
company. And my findings were that the culture of this company was
extremely weak or dysfunctional! So ultimately it was the
corporation's weak culture which gave rise to my negative experience
(and as my research uncovered, to the negative experiences encountered
by many other people working at this company at the time too).

Now the description of my experience highlights some of the problems
that may be experienced in a company with a weak or dysfunctional
culture, problems such as poor communication or exclusion of key and
relevant staff members in decision-making processes for example. The
sad reality is that companies with such cultures are usually beset
with numerous problems. In fact it would be fair to say that virtually
all problems experienced by the staff of an organization or
corporation and which are related to their work can be placed at the
door of the weak or dysfunctional culture of their organization or
corporation. And it does not matter whether the workers or employees
are part of the management staff or not. If they are experiencing
problems related to their work situation then it is highly likely that
their problem is due to some weakness in the culture of their
organization or corporation.
