What is BannerServant , why do I need it, why is it special?


BannerServant is a “Patent Pending” ad management, delivery, and tracking platform that manages banner image rotation in rich HTML email newsletters, blogs, websites and social media pages.

The innovative and “Patent Pending” system was originally designed for rotating multiple advertisers in the header of your email newsletter allowing Publishers to resell the same ad space to multiple advertisers. Sharing the same space in rotation between multiple advertisers splits the ad costs making it more accessible for medium sized advertisers to advertise with larger publishers and larger newsletters.

Medium sized advertisers need BannerServant to gain distribution with larger Publishers without having to buy 100% of the rotation of the available ad unit. This allows them to advertise to targeted leads curated by the larger Publishers without having to face the full expense of advertising to a mass audience.

Publishers need BannerServant to get higher fill rates for their ad inventory by being able to sell to both large and medium sized advertisers and unlock the buying power of all of the demand available in the market place. Furthermore, BannerServant takes care of reliably delivering ads into email clients, and properly tracking the performance at all four levels:
Individual Banner Performance Advertiser Performance (across multiple banners) Campaign Performance (across multiple Advertisers) and finally Publisher performance (across multiple Campaigns).
BannerServant is special because the ad embed code is pure html , without javascript or iframes. This makes it perfect for embedding email newsletters and allows it to be displayed by all ‘rich html’ email clients across the board.

An additional advantage to pure HTML ad slots is that our ad embed code can also be distributed on any HTML platform including your blogs, websites, and social media pages or microsites that accept HTML embeds.


What is the difference between an Advertiser account and a Publisher account?


An Advertiser account allows you to upload your banners and link them back to your website. By advertising your products and services with your banner ads, you’ll be able to generate more leads for your business and increase sales.

A Publisher account allows you to sell available ad space (ad inventory) available in your email newsletter, your website, or your blog to interested advertisers in a highly efficient and easily manageable way.

There are some situations where you’d like to act as both a Publisher (selling extra ad space on your website) as well as an Advertiser (generating more leads for products and services that you own); in these situations you will need to sign up to Banner Servant with two separate accounts with two unique email addresses.


How does BannerServant rotate banners?


BannerServant “Patent Pending” system rotates banners based on the display weight set by the Publisher as well the credits remaining in the banner (set initially by the Advertiser and consumed by both impressions and clicks).

Publishers have the option to set equal weights to all banners in a campaign or alter weights to give preference to a specific advertiser or banner.

Banners that run out of credits (expire) will go out of rotation and will no longer display.

When a banner goes out of rotation, the remaining banners will have their relative weights recalculated live based on the remaining live banners in the campaign. For example 3 live banners with 10% weights each will end up displaying equally in a 33% rotation.


How does BannerServant track impressions?


When the webpage is loaded or the email client has the images enabled, the web server (or email server) will connect to our system to request the banner image. Once this image is requested from our server we choose the right banner to display (based on the rotation algorithm), log the impression to our database and serve the banner image to the requesting server.

If the email client or a mobile browser for example has image loading disabled the impression is not counted. This is a benefit since no credit is used unless banner is displayed.

Once the image is served to the user, we ‘remember’ this user, which ad we served him and which campaign and which ad slot that image was associated with. This later allows us to know which url to direct him to when he clicks on the image.


How does BannerServant track clicks?


BannerServant uses redirect links to track clicks. When someone clicks on a BannerServant link they are first directed to our site. We read the user’s identity and lookup which ad this user was served for this campaign and this ad slot. Once the correct link is found, the click is logged in our database and the user is redirected to the advertiser’s site.

Note: Clicks are logged on our site before the person reaches the advertiser’s site. Click trackers installed on the Advertiser’s site might report slightly lower clicks if the user cancels the page load before the advertiser’s tracking code (from their own analytics vendor) has fully loaded, or if the advertiser’s analytics system requires a certain time on site or counts bounce backs as part of confirming a visit.

Simply: We track initial clicks which can possibly read slightly higher than registered visits.


How do I sign up to BannerServant?

When I sign up, why do I need to give you a 2nd email address?


Many Advertisers and Publishers now have PA’s and VA’s (Personal and Virtual Assistants) who manage some aspects of online task administration for them. The 2nd email address gives you the opportunity to notify your PA or VA about important events such as banners running low on credits or expiring, even when you are busy or out of town. This helps keeps your advertising campaigns live and your banners in rotation even when you’re busy with other things which is important to the continuity of your business.


How do I change my email address, or my assistant’s email address?


All data stored in our database, including existing banners, campaigns and credits is associated with your primary email address. It is not possible to update this address from the software user interface because it will affect all your credits, reporting and tracking.

In case of an emergency situation where your primary email address is hacked or no longer accessible, we can do a manual update to your account. To do so please contact [support@BannerServant.com] directly.

To change your secondary (assistant) email address follow the following steps:


Log into Banner Servant Click on the Profile & Settings tab Click on the Update Profile button Update your secondary email address Click on the Save button

How do I buy credits?


Credits can be bought from the Credits Tab inside BannerServant.com’s dashboard. The Publisher you signed up under controls the credit pricing scheme and the available discount (for bulk purchases) for your account. Use the slider control to choose the number of credits you need to achieve the impressions that you require.

You can then complete your credit purchase using paypal, or authorize.net payment gateways. Both gateways also support credit card purchases so you can complete your purchase even if you do not have a paypal or authorize.net account.

It is important to redeem your credits after you complete your purchase. Make sure you click on the ‘return to BannerServant’ or ‘return to sellers website’ link that appears on your purchase “Thank You” page.


I bought credits on BannerServant but forgot to ‘redeem my credits’ and can’t find the new credits in my profile, what do I do?


There are a few ways to redeem your credits and complete the purchase:

Email Link

Locate the thank you email sent to you by paypal or authorize.net or clickbank.com for your purchase. Inside that email you should find a clickable link that returns you to BannerServant.com. Clicking that link will send us the payment confirmation and redeem the purchased credits in your account.

Payment Notification

Some payment gateways such as paypal.com are connected to BannerServant using an automated payment notification system. This system is used to automatically redeem credits into your account; however paypal will not notify us of a complete the transaction until they secure the funds out of your bank or credit card. This means that the actual credit redemption might be delayed to the completion of your payment until the funds clear your account. In this case, you have no option but to wait for the transaction to run its course.

If clicking the redemption links in your email or the “Thank You” page, and the payment has cleared your bank, and you still haven’t received your credits then do contact us at [support@BannerServant.com] and we will take care of crediting your BannerServant account.


I forgot my password, what do I do?


BannerServant does not store your password in our system and therefore we cannot send you a password reminder email.

You can reset your password by clicking on the “Forgot your password? Reset it” link on the Log in tab. This will send you a password reset email to the primary email registered for your account.

If you no longer have access to that email address then you need to contact [support@BannerServant.com] to change your primary email first. Then you can go ahead and reset your password.


How do you protect against click fraud?


Clicks and impressions in our system track the time, source and identity of the user performing the action. By monitoring the identity of the users clicking on your ad links we can identify click patterns and detect things such as unique clicks vs total clicks, as well as human clicks vs bot clicks.

The reports you see in BannerServant’s dashboard are only total confirmed human clicks. Unique clicks will be slightly lower in normal campaigns. And total clicks including search bots requests, email server requests, and in-browser or in-inbox virus scanner requests will be higher than what you see reported.

How do I sign up as an advertiser?


To sign up as an advertiser follow these steps:

How do I know which size banners my Publisher is going to advertise next?


Your Publisher should coordinate with you directly on upcoming campaigns and expected banner sizes. You may also find standard sizes used by the Publisher (both on their website or in their newsletters) by referring to the Publisher’s Media Kit.


How do I upload banners into the system?


To upload banners follow these steps:
Go to BannerServant.com Log In Click on the Banners Tab Fill out a unique name for this banner ad Set your banner’s landing page URL Use the “Choose File” button to choose your banner ad’s the image file
Note: Before the uploaded banner is live the following is required:
You need to allocate some credits to your banner from the “Existing Banners” section of the “Banners” tab in your dashboard Your publisher needs to approve your banner Your publisher needs to add your banner to a live campaign

Why do I have to add credits to my banners?


Our system gives you full control of your banner ads. You have the ability to allocate as many or as few credits as you like to each of the banners in your account. This means you can spend a higher percentage of your budget on proven and well-performing banners as well as spending a lower percentage of your budget or a limited amount of credits on new banner tests or new calls to actions.

Banners with 0 credits will no longer display in rotation EVEN IF you still have credits available in your profile. Be sure to re-charge your banners with credits as soon as you get the “Credits Low” automated emails from our servers.


My banner is approved but it’s not getting any impressions, what should I do?



First make sure your banner has credits allocated to allow it to run Second, contact your Publisher to make sure the banner is included in one of his live campaigns

Why did I get an email saying “credits low” while I still have credits in my profile?


Credits are managed on a per-banner basis. You can transfer credits from your profile to your banners and vice versa at any time. Make sure you keep your active and well-performing banners charged with enough credits to keep them in rotation.

The automated ‘credits low’ and ‘banner expired’ emails are sent to you on a per banner basis as soon as the banner starts to run out of credits. These notification emails are sent in real time as soon as your banner cross the credit threshold.


Where do I see my banner ad performance?


You can see your individual banner performance - impressions, clicks, and click through rate (ctr) - from the Existing Banners table of the Banners Tab in your dashboard.

You can see a timeline style visualization of your overall account performance or individual banner ad performance in the Reports Tab of your dashboard.


How can I track conversions from BannerServant traffic?


BannerServant does not track on-site conversions or after-click funnel metrics (signups, registrations, follows, purchases...etc).

The best way to track conversions for BannerServant.com links is to use a unique landing URL as your banner ad target url and then track that traffic using one of many available on-site conversion tracking tools installed on your website.


Why does my analytics software register less clicks than BannerServant?


Note: Clicks are logged on our site before the person reaches the advertiser’s site. Click trackers installed on the your site might report slightly lower clicks if the user cancels the page load before the your tracking code (from your own analytics vendor) has fully loaded, or if your analytics system requires a certain time on site or counts bounce backs as part of confirming a visit.


Can I use BannerServant with split tests?


There are four ways to do split tests using BannerServant:

I - Coordinating with your Publisher:

The following two methods require your Publisher to include more than one of your banners in the same live campaign.
Upload the same banner with multiple landing page urls (split testing the landing page) Upload different banner images with the same landing page urls (split testing the banner creative)
II- Without Publisher Coordination:

Without your Publisher’s cooperation, you will only be able to split test your landing pages (but not your banner creative). Here are two ways to do this:
Upload a single banner, with a target url that is a redirect URL on your site. Once the visitor reaches your target URL, your site should be responsible to redirect him to the proper version of the landing page. Upload a single banner, with a fixed target url. Use 3rd party software such as GoogleWebsiteOptimizer to modify the content of your landing page to perform your tests.

I have a banner that is under performing, do I have to continue advertising with it?


You can at any time remove credits from underperforming banners and reallocate them to better performing banners. To add credits or remove credits from your banners, go to the Existing Banners table on the Banners Tab

You can also disable banners from the Existing Banners table on the Banners Tab. Disabling banners simply returns all credits back to your profile leaving the banner with 0 credits. Banners with 0 credits are excluded from rotation in live campaigns.


Can I upgrade my advertiser account to be a publisher account?


At the moment, this feature is not available. The primary email address you used to sign up for your Advertiser account is forever linked to that account. You can at any time register a new Publisher account using a different email address.


Publisher Questions


How do I sign up as a publisher?


To sign up as a publisher follow these steps
Visit BannerServant.com and scroll down the page to the Publisher section on the page Click the Publisher Signup button. You will be redirected to clickbank.com’s checkout form. Complete the transaction with clickbank.com which covers your membership fees as a Publisher on our platform. On the clickbank “Thank You” page, be sure to click the link at the top of the page which will redirect you back to BannerServant.com’s The link will take you to a Publisher registration form where you can fill out information about yourself and your company, as well as your Publisher settings including: Your credit pricing for your Advertisers Your company’s banner or logo (300px x 100px) Your brand’s primary color code in HTML (example #FEAD00) Submit the form and you will have instant access to our system

I registered for my membership on BannerServant but forgot to return to your site to complete registration, how do I create my account now?


There are two ways to register your account and complete the purchase:

Email Link

Locate the thank you email sent to you by clickbank.com for your purchase. Inside that email you should find a clickable link that returns you to BannerServant.com. Clicking that link will redirect you to our Publisher registration form to complete the registration process.

How do I theme BannerServant with my own company logo and colors for my advertisers to recognize my business?


You can theme your account (as well as the appearance of all your Advertiser’s dashboards) by setting your company’s banner and primary HTML color code in your profile settings. This can be done during your Publisher registration or later at any time by updating your profile settings.


How do I tell my advertisers to sign-up with me?


BannerServant is focused on banner management, delivery, and tracking. We do not provide the tools to manage or communicate with prospective advertisers. Please feel free to use any 3rd party communication and lead generation tools to acquire to communicate with your advertisers.

Do tell your advertisers to choose you as their designated Publisher when registering on our system.


How do I let my advertisers know what size ads I expect them to upload?


It’s best to use a few standard ad formats on your website or your newsletter. You can then sell that inventory on your website via a standard media kit or communicate with your advertisers directly about changes to your standard ad formats and banner sizes.


How do I integrate campaigns into my newsletter or website?


To integrate your advertising campaign into your newsletter or website follow these steps:
Log into BannerServant Click on Campaigns Scroll to the bottom of the page and choose the campaign you wish to embed by clicking on the “View Details” link. The campaign details will load in the middle of the page and the appropriate HTML Embed code will appear right under. Copy and paste this HTML code into your email newsletter or website. Save your changes and refresh the page, your advertisers banners should appear.
The embed code consists of two dynamically loaded parts:
An outer dynamically loaded link An inner dynamically loaded image

Why do I have three “Ad slots” and what do you mean by slots?


BannerServant rotates multiple banner ads in the same advertising space. This means that everytime the user loads the page, he will see a different advertisement depending on the ad rotation algorithm.

If you have multiple advertisers in the same campaign, and you have multiple ad units embedded on the same page, the visitor will see two different banners displayed on the same page. These ads will be running on the same campaign which reduces your administrative work.

BannerServant allows you to embed the same campaign into your website more than once as long as each embed code has a different slot id (designated by the ending slot=1 in the embed code urls). This prevents you from having to duplicate your campaigns to run them on the same page but also allows us to track each ad unit’s impressions and clicks independently on the back end.


As a publisher, what happens when I change prices for my clients?


Your price settings primarily affect future credit purchases by your clients. Credits purchased before price changes will not be affected. BannerServant discounts credits based on an algorithm that works towards a target blended CPC, charging the advertiser for both clicks and impressions. The amount charged per click varies slightly from client to client based on individual campaign performance in terms of banner CTR. This keeps clients incentivised to deliver high performing banners with good click through rates.


How often do I get paid?


Automatic monthly payments are transferred to the paypal account linked to the primary email address used to register to BannerServant. If you don’t have a paypal account linked to that email address the funds will be held for you for up to 30 days to register for paypal and claim them.


One of the banners in my campaign has 0 impressions, what should I do?


All three factors (status, credits, rotation weight) affect how a banner is chosen for display in a live campaign. If you have a problem with one of your campaign banners, do check the following:
First check the banner status to make sure it is both approved and active Second make sure the banner has credits allocated to allow it to run Third check to make sure that the banner has a rotation weight greater than 0%

I have a campaign that is under performing for my clients, do I have to keep running it?


You can at any point in time disable an underperforming banner or disable a live campaign.

Disabling an underperforming banner zeroes out its display weight and thus removes it from rotation.

Disabling an underperforming campaign zeroes out all the display weights for all the banners in the campaign. This excludes ALL banners from being displayed for that specific campaign.


How do I disable a live campaign and what happens to the ad slots in my email newsletter when I do so?


To disable a live campaign:
Log into BannerServant Click on the Campaigns tab Scroll to the bottom of the page to the Existing Campaigns table. Click the View Details link for the campaign you want to disable. Go back to the Campaign Details section in the middle of the page after the campaign has loaded. Click on the red Disable Campaign button to disable it
When a live campaign is disabled, a default 300 x 100 BannerServant banner is run in its place linking back to [BannerServant.com]

If you wish to run your own default banner instead of our banner, feel free to upload a banner, add it to the campaign, charge it with credits, and leave it as the only banner with a display weight greater than 0%. Since it is the only banner ‘active’ in that campaign it will run 100% of the time as a default banner.


On the campaign page, what does the “Update Weights” button do?


The Campaign Details section of the Campaigns Tab allows you to both view and edit the banner ad display weights for each of the banner ads in the campaign.

If you want to have one banner display more frequently than the others, simply increase its percentage display weight compared to other banners in the campaign and click the Update Weights button to save these new settings.


How do I add new banners to an existing campaign?


First load the campaign you want to edit by clicking on the View Details link for the desired campaign from Existing Campaigns table

Once the campaign has loaded in the Campaign Details section, click the Load Campaign button to reload the campaign in the New Campaigns form at the top of the page.

You should now see the Campaign ID field filled out for the campaign you want to edit.

You can now simply choose and add more banners to this campaign as you did when you first created it using the Choose Image drop down and the Add Banner button.


How do I remove banners from an existing (live) campaign?


You can’t remove banners from an existing campaign. You can however disable banners or set their display weight to 0% to remove them from live rotation.


On the campaign page, what does the “Load campaign” button do?


The Load Campaign button reloads the current campaign allowing you to add more banners to it as you did when you first created the campaign.

Clicking the Load Campaign button reloads the campaign in the New Campaigns form at the top of the page.

You should now see the campaign ID field filled out for the campaign you want to edit.

You can now simply choose and add more banners to this campaign as you did when you first created it using the Choose Image drop down and the Add Banner button.


Why do the CPM and CPC in my KPI dashboard seem high?


The CPM and CPC numbers in your KPI dashboard are real time numbers based on total credits purchased vs impressions and clicks to date. We do not factor in the percentage of credits consumed by the client in this calculation.

If an Advertiser has only consumed 5% of the credits he / she had purchased, the CPC and CPM numbers in the KPI report will appear 20x higher than expected. This might seem like a mathematically inaccurate way of measuring campaign performance; however, as a publisher these ‘flawed’ metrics will give you a very good insight on how your advertisers feel about their ad spend ROI.

Monitoring performance in this manner is more likely to help you make pricing decisions that are fair for both you and your Advertisers which is more likely to create recurring revenues for you in terms of ad re-buys and credit re-charges.

Essentially, BannerServant allows you to create a free account and upload your creative banners. We then approve or decline each one.

From there, we create a campaign and upload say 5 banners or so in one campaign. We match the banner campaign ID to the banner itself, as well as sprinkle some “magic programming dust”, to track things accurately. Adjusting ”weight” of rotation to 100% (e.g. 4 banners = 25% rotation)

We offer Google Analytic style reporting inside client accounts and set-up KPI dashboard on our Admin side.

We also allow the client to update the landing page URL at anytime during the duration of their campaign.

Now the monetization part:

We created a customized credit system that allows clients to pay for “x” amount of credits based on algorithm and set pricing per impression and clicks to see estimate CTR, CPC and CPM.

The more credits you purchase the better “price” to get more impressions. *just a little incentive to get a bigger purchase

This provides clients some expectations in the beginning, but results of course vary based on the client banner.

Right now we are only running 468×60 sized banners because they look good in emails even then mobile optimized.

ADVERTISER TERMS

This Exclusive Marketing Agreement (“Agreement”) is entered into effective as of the date of execution (specified below) between BannerServant.com and [Company Name] (“Advertiser”).



The following terms and conditions shall govern all insertion orders (IO's) that may be entered into between Advertiser and BannerServant.com with respect to Advertiser's retention of BannerServant.com for the distribution of Advertiser's products or services. No term herein shall be changed unless such change is specifically referenced in the IO. Shortly after registration on the BannerServant.com site, Advertiser will be contacted by BannerServant.com. It shall be within the sole discretion of BannerServant.com as to whether it elects to do business with any Advertiser. Registration with BannerServant.com shall not confer any right on Advertiser to have its Ads (as defined below) carried by BannerServant.com. BannerServant.com reserves the right to make changes to these Terms and Conditions at any time. Advertiser's continued use of the site and BannerServant.com (as defined below) after any such modification shall constitute consent to such modification.



1. Definitions



1.1 "Action" shall be defined in the IO and shall be the basis for determining how BannerServant.com is paid by the Advertiser.



1.2 "Ad" means an banner advertisement provided by, or on behalf of, Advertiser to BannerServant.com pursuant to any IO.



1.3 "Publisher" means any advertising network, website, newsletter, search engine, email list, or any other type of Internet property.



1.4. "Network" means the Internet advertising network operated by BannerServant.com, which is comprised of Publishers.



1.5. "Advertiser Website" means any website that is owned and operated by or on behalf of Advertiser, or which is designated by Advertiser in writing as a Advertiser website.



1.6 "Confidential Information" means any and all information that is disclosed by one party to the other that relates to the disclosing party's trade secrets, products, promotional material, developments, proprietary rights or business affairs, together with the intellectual property and all other information collected, prepared, developed, generated or acquired by the receiving party or any of its employees or agents as a result of or in connection with the Services, excluding information that: (a) is or becomes publicly known, through no fault of the receiving party; (b) the receiving party can demonstrate was known by the receiving party prior to disclosure hereunder; (c) the receiving party can demonstrate is disclosed to the receiving party by a third-party with no violation of confidentiality to the disclosing party; or (d) the receiving party can demonstrate is developed by the receiving party independent of any use of information disclosed by the disclosing party. BannerServant.com's Confidential Information includes, but is not limited to: (i) Publishers comprising the Network; (ii) media rates negotiated by BannerServant.com; (iii) BannerServant.com's technology providers; and (iv) BannerServant.com's media planning and buying methodologies.



1.7. "User" means a person using the Internet.



1.8. "Campaign Specifications" refers to the particular parameters of Advertiser's advertising campaign, including pricing information, as set forth in the IO.



1.9. “Offer” means the complete scope and content of any IO submitted by Advertiser and accepted by BannerServant.com.2. BannerServant.com's Services (the "Services")



2. BannerServant.com’s Services (the “Services”)



2.1. IO. The IO shall specify (i) the User Action for which BannerServant.com will be paid, (ii) the amount BannerServant.com will be paid for each User Action, and (iii) other requirements that are specific to the campaign.



3. Responsibilities of Advertiser



3.1. Creative. Advertiser will provide BannerServant.com with the creative materials required to deliver the Ads of Advertiser, including product/service descriptions, graphic images, logos, and offer copy for each promotion or campaign. Offer copy shall include subject and from lines (for emails); offer description (in text and html formats), terms and conditions (if applicable), and any other information necessary to comply with applicable laws and regulations (including the CAN-SPAM Act (15 U.S.C. § 7701 et. seq.) and any enabling regulations). Advertiser will submit changes or cancellations of any creative materials in writing to BannerServant.com at least ten (10) business days in advance of requested change date.



3.2. Marketing. Advertiser grants BannerServant.com a non-exclusive license to use, reproduce, publicly and digitally display and perform, transmit and broadcast Advertiser's name, logos, trademarks, trade names, service marks, URLs and slogans to advertise, market, promote and publicize BannerServant.com's service including the inclusion of Advertiser in BannerServant.com's marketing materials and on BannerServant.com's "Advertisers" and "testimonial" page on its web site.



3.3 Exclusivity. Advertiser shall require any and all other promotional and marketing networks to obtain prior consent from BannerServant.com, (which may be withheld by BannerServant.com without cause or obligation and may require any such third-party to enter into written agreements governing the manner of any promotion or marketing) before engaging in any promotion or marketing of any Offer.



3.4. Non-circumvention. During the Term of any IO in effect and for a period of 180 days thereafter, Advertiser agrees that it will not engage, contract with, work with, license, or permit any person, firm, or entity to represent Advertiser in any performance-based advertising relationship with any Publishers within the Network, unless a previously existing business relationship between Advertiser and such Publishers can be demonstrated to BannerServant.com's reasonable satisfaction. In the event a Publisher does contact Advertiser and Advertiser finds out at a later time that such Publisher is a Publisher within Network, then Advertiser shall notify such Publisher immediately that it must work directly with BannerServant.com and immediately halt any marketing campaigns it is conducting with such Publisher. Both parties agree and acknowledge that if Advertiser violates its obligations under this Section 3.3, BannerServant.com will be entitled to liquidated damages in the amount of fifty percent (50%) of the gross revenues resulting from sales conducted by Advertiser through the advertising or marketing efforts of such Publisher(s), in addition to any other remedies BannerServant.com may have at law or in equity.



3.5. Operations/Tracking.

Website. Advertiser will keep the Advertiser website running and functional, allowing for User actions (sales, registrations, leads, etc.) to be processed.

CPA Tracking. With respect to all cost per acquisition ("CPA") campaigns, Advertiser will provide BannerServant.com with unique tracking links (url's) that will record the origin of each User Action including clicks and sales by unique tracking link. Advertiser will allow BannerServant.com online access to the stats of such User actions by unique tracking link. Advertiser will ensure BannerServant.com's tracking methods are in place and functioning at all times. Advertiser will provide access to records as they become available that will allow BannerServant.com to monitor the volume of User Actions it has generated.

Other Tracking. With respect to all other campaigns, including cost per impression ("CPM"), cost per click ("CPC") and co-registration campaigns, BannerServant.com shall have sole and absolute responsibility for calculation of the User Actions that comply with the terms of the IO. If requested by the Advertiser, BannerServant.com shall transfer User Action data supporting BannerServant.com's count for review by Advertiser. Unless Advertiser objects to BannerServant.com’s count within 48 hours, BannerServant.com’s count shall be final. If Advertiser contests BannerServant.com’s count, Advertiser shall provide a written report to BannerServant.com identifying, in detail, the discrepancies, between the Advertiser's count and BannerServant.com's count. BannerServant.com shall, in good faith, consider such documentation, but shall have final authority in determining the correct count.



3.6 Data Suppression. To the extent required by law or as may be desired by Advertiser, Advertiser shall provide BannerServant.com its suppression list of opt-outs and unsubscribes promptly before any delivery of emails containing Ads hereunder, which BannerServant.com shall make available to the Publishers in the Network. BannerServant.com assumes no liability whatsoever, if (a) Advertiser does not timely provide BannerServant.com with its suppression list; (b) any suppression list provided by Advertiser is in any way inaccurate or incomplete; and (c) if the applicable Publishers fail to scrub their database against such suppression list provided by Advertiser. BannerServant.com’s sole obligation is to make such suppression list available to its Publishers following its receipt thereof from Advertiser. If Advertiser elects to provide such a suppression list, Advertiser represents and warrants that it has the right to provide such suppression list and the data contained therein to BannerServant.com and to authorize BannerServant.com to provide such suppression list to its Publishers. Advertiser shall be solely responsible for, and shall indemnify BannerServant.com and its Publishers from and against, any and all Claims (as defined below) arising from Advertiser's acts or omissions in connection with the foregoing provisions of this Section 3.5.



4. Payments



4.1. Payment Obligations. All BannerServant.com invoices will be sent to Advertiser. Any discrepancies in a monthly invoice must be submitted by Advertiser to BannerServant.com no later than the 10th day of the month in which the invoice was received. If no such discrepancies are identified, full payment is due fifteen days after the date of the invoice. If Advertiser identifies discrepancies in any invoice that are based on BannerServant.com reporting and/or tracking, a detailed report of all Offers active during the billable month will be e-mailed to Advertiser’s designated account manager ,and any discrepancies will be reviewed and researched.



4.2. In the event a deposit required For Late Payments. If Advertiser does not submit payment in a timely manner as required by Paragraph 4.1 (above), BannerServant.com, in its sole discretion, may require Advertiser to: (a) submit a deposit in an amount to be determined by BannerServant.com (but not to exceed $10,000.00), or (b) provide BannerServant.com with a valid credit card with sufficient available balance and authorize BannerServant.com to pay future invoices automatically and immediately using that credit card account.



4.3. Payment Obligations. Advertiser is obligated to pay BannerServant.com before a campaign goes active status and according to the pricing specified on the slider purchase system per each IO. BannerServant.com shall invoice Advertiser and Advertiser shall pay the invoiced amount upon receipt of each invoice. In the event Advertiser fails to pay within fifteen (15) days after payment is due, all outstanding charges shall bear interest at the rate of 1.5% per month or the maximum interest rate permitted under applicable law, whichever is less. Advertiser agrees to pay all costs of collection (including court cost and reasonable attorneys fees) incurred by BannerServant.com in connection with its enforcement of any IO.



4.4. Payment Records. Advertiser shall insert BannerServant.com's tracking embed code for each Ad to be delivered hereunder. Advertiser will provide BannerServant.com with a link where BannerServant.com initiating the advertising campaign.



Credits: sold at a rate shown to Advertisers and consumed at one credit per impression, number of credits per click is algorithmically calculated based on setting for average or “blended” CTR metric.



Campaign Performance: actual results in terms of impressions, clicks, CTR “blended” CTR, CPM and CPM will depend on the individual campaign performance.



4.5. Non-Viable Leads. Unless otherwise provided in the IO, no offsets or chargebacks may be taken for any non-viable or duplicate leads. BannerServant.com shall determine in its reasonable discretion what constitutes a non-viable lead.



4.6 Refund Policy. Refund of prepayments is at BannerServant.com sole discretion and a five percent (5%) administrative penalty on the amount prepaid may be assessed in case of a refund. In any event, a prepayment is non-refundable in whole or in part until either the offer(s) associated with the Ad(s): (a) has/have been active using  BannerServant.com for a minimum of ninety (90) days; or (b) has/have been removed and the Agreement has been terminated.



5. Confidential Information and License



5.1. Confidential Information. Each party agrees to use the other party's Confidential Information solely for the purposes contemplated by the IO and these Terms and Conditions, and to refrain from disclosing the other party's Confidential Information to any third-party, unless (a) any disclosure is necessary and permitted in connection with the receiving party's performance of its obligations or exercise of its rights under any IO or these Terms and Conditions or any other agreement between the parties; (b) any disclosure is required by applicable law; provided, that the receiving party uses reasonable efforts to give the disclosing party reasonable advance notice thereof so as to afford the disclosing party an opportunity to intervene and seek an order or other appropriate relief for the protection of its Confidential Information from any unauthorized use or disclosure; or (c) any disclosure is made with the consent of the disclosing party.



5.2. License Under Intellectual Property. While any IO is in effect, Advertiser hereby grants to BannerServant.com, and all Publishers in the Network, a personal, non-exclusive, revocable, non-transferable, limited license to all intellectual property rights, owned or controlled by Advertiser (including but not limited to copyrights, trademarks, and service marks) solely to the extent that such license is required for performance of Services. Nothing in any IO or these Terms and Conditions shall transfer ownership of any intellectual property to BannerServant.com or any of its Publishers, nor grant any right or license other than the limited license stated above. Such License shall terminate immediately upon termination, for any reason, of all IO's in effect.



5.3. Designation of Confidential Materials. If confidential or proprietary data or other information exists in any document provided to either party to this Agreement, the disclosing party shall mark such documents prominently with the following legend: “STRICTLY CONFIDENTIAL. Disclosing, reproducing, or transferring this information to any third party without permission is prohibited.”



6. Termination



Either party may terminate any IO at any time for any reason upon fifteen (15) days prior written notice to the other party. Such termination shall not relieve Advertiser of the obligations to pay any amounts then due and owing to BannerServant.com through the effective date of termination. In addition, Sections 3.5, 5.1, 7.1, 7.2, 7.3, 8.2 and 8.3 hereof shall survive termination of any IO.



7. Representations, Warranties and Liabilities



7.1. Representations and Warranties. Each party represents and warrants that: (a) it has the right to enter into and fully perform the services contemplated by the IO, consistent with these Terms and Conditions; (b) as of the date each IO is signed by Advertiser, there is no outstanding contract, commitment or agreement to which it is a party that conflicts with these Terms and Conditions and the IO; and (c) at all times while any IO remains in effect, it shall comply with all applicable laws and regulations, including, without limitation, the CAN-SPAM Act. Advertiser further represents and warrants to BannerServant.com that Advertiser is the owner of, or is licensed or otherwise authorized to use the entire content of Ads, including, but not limited to: (a) names and pictures of persons; (b) copyrighted materials, trademarks, service marks, or depictions of trademarked goods or service marked services or other intellectual property of any kind; and (c) testimonials or endorsements. In addition, Advertiser represents and warrants that the products or services to be advertised are: (a) legitimate and lawful products or services that satisfy all standards of quality and performance referenced in any Ad; (b) in compliance with all applicable laws and regulations (and that the Ads hereunder will be compliant with all such laws and regulations); and (c) not the subject of any current and pending litigation. BannerServant.com makes no guarantees or representations as to the level of user actions (sales, registrations, leads, etc.) that will be generated under any IO. EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND CONDITIONS, THE PARTIES HEREBY DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.



7.2. Limitation of Liability. In no event will either party be liable to the other for any lost profits or any special, incidental, consequential, exemplary, punitive or other indirect damages of any nature, for any reason, whether based on breach of contract, tort (including negligence), or otherwise and whether or not either has been advised of the possibility of such damages. The foregoing shall not limit the liability of any party hereunder under Sections 3.5, 5.1 and 7.3 hereof.



7.3 Indemnification. Each party will defend, indemnify, and hold harmless the other party, and its respective affiliates (including with respect to BannerServant.com, the Publishers in the Network), directors, employees, agents, successors and assigns from all claims, actions, losses, liability, damages, costs, and expenses (including reasonable attorney's fees and expenses) (collectively "Claims") arising from any breach of any IO or of these Terms and Conditions (including any representations and warranties made herein). Without limiting the foregoing, Advertiser shall indemnify and hold harmless BannerServant.com and its Publishers against all liabilities arising from: the products or services offered by Advertiser; any actual or alleged defamatory, illegal or otherwise improper material provided by Advertiser to BannerServant.com in connection with any Ad; and any material provided by Advertiser to BannerServant.com, which actually or allegedly infringes on the intellectual property or personal rights of a third party. Each party agrees to (i) promptly notify the other party in writing of any Claim and give the other party the opportunity to defend or negotiate a settlement of any such Claim at that party's expense, and (ii) cooperate fully with the other party, at that other party's expense, in defending or settling such Claim. Each party reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the indemnifying party hereunder.



7.4. Force Majeure. Neither party shall be deemed in default of any IO or these Terms and Conditions to the extent that performance of its obligations or attempts to cure any breach are delayed or prevented by reason of any act of God, fire, natural disaster, accident, riots, acts of government, shortage of materials or supplies, or any other cause beyond the reasonable control of such party; provided, that the party whose performance is affected by any such event gives the other party written notice thereof within three (3) business days of such event or occurrence.



8. General



8.1 Entire Agreement. These Terms and Conditions, together with the IO(s) constitutes the entire agreement between the parties and supersedes all prior agreements or understandings between the parties.



8.2 Controlling Law. Any IO and these terms and conditions shall be governed by the laws of the State of Florida, without giving effect to principles of conflicts of law. Each party, to the extent permitted by applicable law, hereby irrevocably and unconditionally (i) submits to the general jurisdiction of the federal and state courts located in Orange County, Florida; (ii) agrees that any action or proceeding concerning this Agreement will be brought exclusively in such courts; and (iii) waives any objection that it may now or hereafter have to the venue of any such action or proceeding in any such court or that such action or proceeding in any such court was brought in an inconvenient court, and agrees not to claim or plead the same.



8.3. Audit Rights. For at least one year after the termination of each IO, Advertiser shall keep proper records and books of account relating to the computation of payments to be made there under. BannerServant.com or its designee may inspect such records to verify reports. Any such inspection will be conducted in a manner that does not unreasonably interfere with Advertiser's business activities and, except as provided below, shall be conducted no more frequently than once every six months. Advertiser shall immediately make any overdue payments disclosed by the audit plus applicable interest. Such inspection shall be at BannerServant.com's expense; however, if the audit reveals overdue payments in excess of 5% of the payments owed to date, Advertiser shall immediately pay the cost of such audit, and BannerServant.com may conduct another audit during the same six month period.



8.4. Waiver. No waiver by either party of any breach of any provision hereof shall be deemed a waiver of any subsequent or prior breach of the same or any other provision.

8.5. Assignment. No IO may be assigned by Advertiser without the prior written consent of BannerServant.com.



8.6. Severability. In the event that any provision of these Terms and Conditions is found invalid or unenforceable pursuant to any judicial decree or decision, such provision shall be deemed to apply only to the maximum extent permitted by law, and the remainder of these Terms and Conditions shall remain valid and enforceable according to its terms.



8.7. Relationship. The parties agree that BannerServant.com is acting as an independent contractor in performing the Services and that the relationship between BannerServant.com and Advertiser shall not constitute a partnership, joint venture or agency. Neither BannerServant.com nor any of BannerServant.com's employees or agents (collectively referred to herein as the "Employees") (i) is an employee, agent or legal representative of Advertiser, or (ii) shall have any authority to represent Advertiser or to enter into any contracts or assume any liabilities on behalf of Advertiser. BannerServant.com retains all the rights and privileges of sole employer of its Employees, including, without limitation, the right to control, hire, discipline, compensate and terminate such Employees. Neither BannerServant.com nor any of its Employees shall have any right to receive any employee benefits as are in effect generally for Advertiser's employees.



8.8. Notice. Any notice, communication or statement relating to any IO or these Terms and Conditions shall be in writing and deemed effective: (i) upon delivery when delivered in person; (ii) upon transmission when delivered by verified facsimile transmission or verified email; or (iii) when delivered by registered or certified mail, postage prepaid, return receipt requested or by nationally-recognized overnight courier service to (a) Advertiser at the address set forth on the IO, and e-mail: support@bannerservant.com



8.9 Headings. Section and paragraph headings are for convenience only and do not define or limit the scope of any provision of this Agreement.



8.10. Remedies.

If Advertiser breaches or threatens to breach any provision of this Agreement so as to jeopardize the confidential or proprietary nature of any data or information belonging to BannerServant.com, in addition to other remedies it may have at law or equity, BannerServant.com shall be entitled to a restraining order, injunction, or other similar remedy.



8.11. Preparation of Agreement. This Agreement has been negotiated by the combined input of the parties. Should any term or provision be found or alleged to be ambiguous, no construction of that term or provision against any particular party as “draftsman” shall arise or occur.



8.12. Cooperation.

Publisher shall provide all information, data, approvals and/or other input reasonably required by BannerServant.com under this Agreement by the agreed-upon deadlines, if specified, or otherwise on a reasonably prompt basis. In relation to such information, data, and input to be provided by Publisher, time is of the essence.



8.13. Authority. Each party represents that it has the authority and standing to enter into this Agreement; that the individual entering into this agreement behalf of the party has the authority to bind that party; and that the execution of this Agreement does not effect any breach of contract or other violation of law.

Information Collection

BannerServant.com is the sole owner of the information collected on BannerServant.com. BannerServant.com collects information from our users at several different points on our Web site.

Order

We request information from the user on our slider credit purchase process. A user must provide contact information (such as name, email, and shipping address) and financial information (such as credit card number, expiration date). Profile

We store information that we collect through cookies, log files, clear gifs, and/or third parties to create a profile of our users. Clear Pixels

We employ a software technology called clear pixels, that help us better manage content on our site by informing us what content is effective. Clear gifs are tiny graphics with a unique identifier, similar in function to cookies, and are used to track the online movements of Web users. The main difference between the two is that clear gifs are invisible on the page and are much smaller, about the size of the period at the end of this sentence. Clear gifs are tied to users’ personally identifiable information to allow us to keep track of the orders of users that have entered our site via third-party advertising.

In addition, we use clear gifs in our HTML-based emails to let us know which emails have been opened by the recipients. PUBLISHER TERMS

The following are the terms and conditions governing Publisher’s relationship with BannerServant.com and the use of the BannerServant.com website (the “Site”). Publisher agrees to use the Site and any additional services offered by BannerServant.com only in accordance with these Terms and Conditions. BannerServant.com reserves the right to make changes to the Site and these Terms and Conditions at any time. Publisher’s continued use of the Site after any such modification and notification thereof shall constitute Publisher’s consent to such modification.

1. Approval of Publisher.

Registration with BannerServant.com shall not confer any right on Publisher to market or promote any Programs (as defined below) made available by BannerServant.com on the Site on behalf of its clients (the “Advertisers”). All prospective publishers need official approval from BannerServant.com before they can become Publishers. Only approved Publishers are permitted to use the Site, its patent pending credit and rotator technology. BannerServant.com reserves the right to withhold or refuse approval for any reason, whatsoever.

1.1 Minimum Eligibility Requirements.

In order to be eligible to become a Publisher, all websites, affiliated websites and e-mail distribution lists (collectively the “Media”) must meet the following criteria:

                Unless otherwise approved in writing, Publishers may not offer incentives to users as means to enhance the performance of any Program (as defined below); incentives include but are not limited to awarding them cash, points, prizes, contest entries, etc.;

                Publisher websites must be fully functional at all levels; no "under construction" sites or sections; and

                Spawning process pop-ups and are prohibited.

1.2 Publisher Website Content.

The content of Publisher’s Media must comply with all applicable laws and regulations (including all laws respecting intellectual property rights) and, in any event, shall not include the following:

                Racial, ethnic, political, hate-mongering or otherwise objectionable content;

                Investment, money-making opportunities or advice not permitted under law;

                Gratuitous violence or profanity;

                Material that defames, abuses, or threatens physical harm to others;

                Promotion of illegal substances or activities such as illegal online gambling, how to build a bomb, counterfeiting money, etc.;

                Software Pirating (e.g., Warez, Hotline);

                Hacking or Phreaking;

                Obscenity and any spoofing, redirecting, or trafficking from adult-related websites in an effort to gain traffic; and

                Any illegal activity whatsoever.

2. Use of the Site and Specific Understanding:

The Site allows BannerServant.com to post offers of advertising banners sponsored by BannerServant.com or its affiliates on the system (“Banner(s)”). The Publisher agrees to place the advertising banner creative on Publisher’s Media. Publisher shall display the banner exactly as it appears when uploaded and approved by Publisher in Publisher Admin Panel. Failure to adhere to this requirement may, in addition to all other remedies available to BannerServant.com, result in termination of Publisher. BannerServant.com is responsible for providing embed code and administering all active banners and tracking the payments owed.



Credits: sold at a rate that Publisher set for your Advertisers, and consumed at 1 credit per impression, number of credits per click is algorithmically calculated based on Publisher setting for average or “blended” CTR metric.



Campaign *Performance: actual results in terms of impressions, clicks, CTR “blended” CTR, CPM and CPM will depend on the individual campaign performance.



*Campaigns that perform differently from initial assumptions can at any time have a price change in the settings to target CPC, “blended” CTR, and CTR. These changes will ONLY affect future credit purchases as existing credits would not be dramatically affected.



Revenue Split: Credits purchased through BannerServant.com are split as 90%/10% between yourself (the Publisher) and (BannerServant.com).



Revenue: earned from each Advertiser purchase will be credited in BannerServant bank account, giving BannerServant the ability to reject, refund or reimburse sales when deemed necessary.



Payout: Twice a calendar month on the working days of the 1st and 15th, an automated payment will transfer the Publisher 90% of revenue earnings from their Advertiser purchases to their Paypal account via an automated Mass Payment, (this is assuming no outstanding refund requests).



If the Publisher does not have a Paypal account associated with the email they used when signing for Bannerservant.com, Paypal will hold these funds for you 'unclaimed' and you will have 30 days to register a Paypal account to claim your earnings.

Embed Code: Publishers will be allowed to embed up to 3 ad units for the same campaign in a single email or webpage. There is no limit on how many different campaigns can embed in a single page /email as long as the maximum limit of 3 per campaign per page is not exceeded



Publishers may purchase credits from BannerServant.com for the primary ability to refund or adjust your Advertiser's credits. This type action should only be used in extreme situations to make an Advertiser 'whole' or to compensate for dramatic credit price changes per Publisher. Ultimately, it's up to the Publisher to properly manage their relationship with the Advertisers and ensure they have a fair and consistent credit pricing strategy utilizing our BannerServant technology.



3. License.

Publisher has granted access to use BannerServant.com website. Publisher is still required to buy credits (or Advertisers buy credits) to create active campaigns. BannerServant.com grants Publisher a revocable, non-transferable, non-exclusive limited license to use the BannerServant.com Site (including any banner ads posted thereon) and any data, reports, information or analyses arising out of such use (the “Site Data”) solely for the purpose of marketing or promoting the Programs hereunder and subject to these Terms and Conditions and the applicable Program Terms. Publisher acknowledges and agrees that Publisher does not have, nor will it claim any right, title or interest in the Site software, applications, data, methods of doing business or any elements thereof, or any content provided on the Site (including the Ads). Publisher may only access the Site via web browser, e-mail or in a manner approved by BannerServant.com. Publisher will not attempt in any way to alter, modify, eliminate, conceal, or otherwise render inoperable or ineffective the Site tags, source codes, links, pixels, modules or other data provided by or obtained from BannerServant.com that allows BannerServant.com to measure ad performance and provide its service. In addition, Publisher acknowledges that all non-public information, data and reports received from BannerServant.com hereunder or as part of the services hereunder is proprietary to and owned by BannerServant.com. If instructed to do so by BannerServant.com and/or if Publisher shall be terminated by BannerServant.com, Publisher will immediately destroy and discontinue the use of any BannerServant.com data, including Site Data, and any other material owned by BannerServant.com or the Advertisers.

4. Fraud.

BannerServant.com actively monitors traffic for fraud. If fraud is detected, Publisher’s account will be made inactive and any funds owed to Publisher frozen, pending further investigation. Publisher accounts are flagged that:

                Have click-through rates that are much higher than industry averages and where solid justification is not evident to the reasonable satisfaction of BannerServant.com;

                Have ONLY click programs generating clicks with no indication by site traffic that it can sustain the clicks reported;

                Have shown fraudulent leads as determined by the Advertisers;

                Have much higher conversions per click rates than industry averages and where solid justification is not evident to the reasonable satisfaction of BannerServant.com; or

                Use fake redirects, automated software, and/or fraud to generate Events from the Programs.

If Publisher fraudulently adds leads or clicks or inflates leads or clicks by fraudulent traffic generation (such as pre- population of forms or mechanisms not approved by BannerServant.com or use of sites in co-registration campaigns that have not been approved), as determined solely by BannerServant.com, Publisher will forfeit its entire commission for all programs and its account will be terminated. If Publisher is notified that fraudulent activities may be occurring on its Media, and Publisher fails to take prompt action to stop the fraudulent activities, then, in addition to any other remedies available to BannerServant.com, Publisher shall be responsible for all costs and legal fees arising from these fraudulent activities. In addition, in the event that Publisher has already received payment for fraudulent activities, BannerServant.com reserves the right to seek credit or remedy from future earnings or to demand re-imbursement from Publisher.

5. Payment.

BannerServant.com shall pay any amounts due to Publisher twice a calendar month on the days of 1st and 15th, an automated payment will transfer Publisher 90% earnings for Advertiser purchases to your Publisher Paypal account via an automated Mass Payment, (this is assuming their is no outstanding refund requests pending); provided that BannerServant.com may, in its discretion, withhold payments until such time as the Advertiser has paid BannerServant.com. BannerServant.com reserves the right to reduce any payments owed to Publisher as a consequence of any offsets taken by Advertisers for invalid Events, technical errors, tracking discrepancies and the like. BannerServant.com shall compile, calculate and electronically deliver data required to determine Publisher’s billing and compensation. Any questions regarding the data provided by BannerServant.com need to be submitted in writing within 10 business days of receipt, otherwise the information will be deemed accurate and accepted as such by Publisher. All amounts will be paid in US dollars. No funds will be issued for any amounts less than $100 US Dollars (the “Payment Threshold”). All such amounts below the Payment Threshold shall be aggregated and paid when the Payment Threshold has been met. BannerServant.com will not pay for any Events that occur before a banner is uploaded and approved by Publisher, or if a banner is terminated from further display. Invoices submitted to BannerServant.com and payments made to Publisher shall be based on the Events as reported by BannerServant.com. BannerServant.com will not be responsible to compensate Publisher for Events that are not recorded due to Publisher’s error. BannerServant.com may require a Publisher to provide a W-9, and similar such information, as a condition to payment.

6. Special Terms for Co-Registration Campaigns

With respect to Publishers who are running co-registration campaigns to generate leads (“Leads”) for Advertisers, the following specific terms and conditions shall apply:

6.1 Approval of Publisher’s Site(s).

No Program may go live until such time as BannerServant.com, and if necessary the applicable Advertiser, have approved, in writing, (a) all sites to be used by the Publisher for each Program and (b) the transfer of leads in the form of either a successful post for real-time transfer or approval of the test file for batch or FTP files.

6.2 Publisher’s Privacy Policy.

Publisher represents and warrants that Publisher’s privacy policy permits the collection, use and transfer of data as contemplated hereby and the Program Terms.

6.2 Scrubbing Leads.

Each Program shall have its own criteria for determining the validity of a lead (the “Lead Requirements”)

6.3 Use of Leads.

Publisher hereby acknowledges that the collection of the Leads is being done solely for the benefit of BannerServant.com or its Advertiser. Therefore, other than providing the Leads to BannerServant.com for delivery to the Advertisers, Publisher may not use, sell, transfer or assign or attempt to monetize the Leads for its own purposes. All right, title and interest in the Leads shall vest exclusively in BannerServant.com or its Advertisers.

7. Termination.

BannerServant.com reserves the right, in its sole and absolute discretion, to terminate a Program and remove any advertisements at any time for any reason, upon written notice to Publisher. BannerServant.com also reserves the right to terminate Publisher’s access to the Site at any time without notice.

Termination notice will be provided via e-mail and will be effective immediately, meaning, among other things, that Publisher must immediately cease all advertising activities. All moneys then due to Publisher will be paid during the next billing cycle. The representations, warranties and obligations contained in paragraphs 8, 10, 11, 12 and 14.2 shall remain in full force and effect after termination of this Agreement. In addition, all payment obligations accruing prior to the termination date shall survive until fully performed.

8. Representations and Warranties/Covenants.

8.1 Mutual Representations.

Each party represents and warrants that: (a) it has the right to enter into and fully perform the services contemplated herein, consistent with these Terms and Conditions; (b) there is no outstanding contract, commitment or agreement to which it is a party that conflicts with these Terms and Conditions; and (c) at all times while any Program remains in effect, it shall comply with all applicable laws and regulations. Neither party makes any guarantee, representations or warranties, express or implied, as to the level of consumer response that will result from the Programs.

8.2 Publisher Representations.

Publisher represents and warrants as follows:

        .        Publisher’s Media is currently in compliance with all applicable laws (including without limitation the Can-Spam Act, effective January 1, 2004 (the “Can-Spam Act”);

        .        Publisher’s Media does not contain or promote, nor links to another website that contains or promotes, libelous, defamatory, abusive, violent, prejudicial, obscene, sexually explicit or illegal content, product, service or activity;

        .        Publisher’s database consists of only permission based opted-in e-mail addresses; and

        .        Publisher owns or has the legal right to use and distribute all content, copyrighted material, products, and services displayed on Publisher’s Media.

8.3 Publisher Covenants.

Publisher covenants that it shall not:

        .        send unsolicited commercial e-mail (spam) (i.e., it will send commercial e-mails in connection with any Programs to only those e-mail addresses that have consented to receive such e-mails);

        .        post any specific messages to newsgroups, chat rooms, bulletin boards or any other places regarding any Programs unless expressly approved in writing from BannerServant.com;

        .        promote via website or link to websites containing any pornographic, racial, ethnic, political, software pirating (e.g. Warez) or hacking, hate-mongering, or otherwise objectionable or illegal content, or any other content referenced in paragraph 1.2;

        .        use the Site in any manner other than what is specifically contemplated herein;

        .        engage in any kind of deceitful, misleading or other unfair trade practices, or fraudulent or other unlawful practice when marketing any Programs; and

        .        while an approved Publisher and for 180 days thereafter, participate in any performance based advertising relationship with any Advertiser within BannerServant.com’s website or use of their technology, unless a previously existing business relationship between Advertiser and Publisher can be demonstrated to the reasonable satisfaction of BannerServant.com. In this connection, both parties agree and acknowledge that if Publisher violates its obligations hereunder, BannerServant.com will be entitled to damages in the amount of forty-five percent (45%) of the gross revenues resulting from sales conducted by Advertiser through the advertising or marketing efforts of Publisher.; and

Publisher covenants that it shall:

        .        conduct the web advertising campaign for Advertiser in accordance with the highest industry standards;

        .        ensure that any data collected for any lead generation, co-reg, opt-in or opt-out (collectively "Co-Reg") campaign is collected exclusively from the site or sites, which have been previously approved by BannerServant.com (and Advertiser, if so requested by BannerServant.com).

        .        comply with all applicable law, including without limitation the CAN-SPAM Act. Without limiting the generality of the foregoing, if employing e-mail, Publisher shall (and shall cause its affiliates to):

        .        refrain from falsifying e-mail header information (including, without limitation, source, destination and routing information);

        .        refrain from seeking or obtaining unauthorized access to computers for the purposes of sending commercial e-mail;

        .        include within any e-mail sent: a valid street address, a clear and conspicuous identification that any e-mail message is an advertisement or solicitation, and a clear and conspicuous and functioning opt-out notice;

        .        comply with all legal obligations with respect to opting out or unsubscribing consumers from Publisher’s e-mail mailing lists, as well as Advertiser's e-mail list if applicable;

        .        not use any subject or from line that is materially false or misleading, or use subject lines that is ambiguous as to the content of the e-mail (if permitted to use a subject or from line, other than those provided by BannerServant.com);

        .        to the extent that BannerServant.com provides an opt-out or unsubscribe list (the “Suppression List”) to Publisher in connection with any Program, Publisher shall regularly scrub its database against and the Suppression List and shall not at any time send any commercial e-mails to any individuals on the Suppression List;

        .        not use the Suppression List in any manner other than for the purpose contemplated by clause 6 above and Publisher shall not obtain any ownership interest or rights in and to any Suppression List;

        .        Publisher shall alert BannerServant.com in the event that any litigation or investigation ensues concerning Publisher’s or its affiliates’ e-mail practices (irrespective of whether such litigation relates to Publisher’s relationship with BannerServant.com).

Publisher acknowledges that breaches of any of the foregoing representations and covenants may, in the sole discretion of BannerServant.com, result in the immediate termination of BannerServant.com’ relationship with Publisher and Publisher shall forfeit all rights to any compensation theretofore owed to it by BannerServant.com. The foregoing rights shall be in addition to any other remedies available to BannerServant.com. Publisher aacknowledges and agrees that BannerServant.com shall not be responsible for the Advertisers' violation of any applicable laws or regulations, including, without limitation, the CAN-SPAM Act.

9. Privacy Policy.

Publisher shall maintain and post in a conspicuous manner on all its websites involved in the Programs, a privacy policy no less protective of consumer’s privacy interests than the BannerServant.com model privacy policy. This model privacy policy (the "Policy") is provided as a service to BannerServant.com’ Publishers to provide an example of the level of consumer privacy protection that it expects its Publishers to adhere to with respect to the collection of personally identifiable information from its consumers. Publishers are not obligated to adopt the exact policy, indeed, the Policy may not be right for Publisher’s particular business and legal requirements. Publishers are, however, expected to provide at least the same degree of protection of their consumers’ privacy as contemplated in the Policy. BannerServant.com makes no representations or warranties whatsoever regarding this Policy, and disclaims any responsibility and liability whatsoever resulting from Publisher’s use, in whole or in part, of the Policy or its development or use of any privacy policy based on the Policy.

10. Customer Information; Non-Disclosure.

All information submitted to Publisher by an end-user customer pursuant to a Program is proprietary information of BannerServant.com, its affiliates, and/or the Advertisers. Such customer information is confidential and may not be disclosed by Publisher. Publisher agrees not to reproduce, disseminate, sell, distribute or commercially exploit any such proprietary information in any manner.

11. Limitation of Liability; Disclaimer of Warranty.

Except as provided in paragraph 12 of these Terms and Conditions, in no event will either party be liable to the other for any lost profits or any special, incidental, consequential, exemplary, punitive or other indirect damages of any nature, for any reason, whether based on breach of contract, tort (including negligence), or otherwise and whether or not either has been advised of the possibility of such damages.

THE INFORMATION, CONTENT AND SERVICES ON THE SITE ARE PROVIDED ON AN "AS IS" BASIS. PUBLISHER USES THE SITE AND RUNS THE PROGRAMS AT ITS OWN RISK. OTHER THAN AS EXPRESSLY SET FORTH IN THESE TERMS AND CONDITIONS, BannerServant.com DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND WARRANTY OF NON-INFRINGEMENT.

BannerServant.com makes no representations and warranties whatsoever, and disclaims any responsibility and liability, regarding the content or nature of any Ad or Program made available on the Site, or any product or service advertised in connection therewith.

12. Indemnity/Insurance.

12.1 Indemnity.

Publisher will defend, indemnify, and hold harmless BannerServant.com, the Advertisers, and their affiliates, directors, employees, agents, successors and assigns from all claims, actions, losses, liability, damages, costs, and expenses (including reasonable attorney’s fees and expenses) (collectively “Claims”) arising from any breach of any of these Terms and Conditions or any Program Terms. BannerServant.com reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the indemnifying party hereunder.

12.2 Insurance.

Publisher shall, while acting as Publisher hereunder, obtain and maintain at its own cost and expense from an insurance company reasonably acceptable to BannerServant.com, an insurance policy providing coverage for both bodily injury and property damage liability, including without limitation products and completed operations liability, foreign liability, personal injury, advertising, libel, intellectual property infringement and comprehensive general liability insurance. The policy shall name BannerServant.com as an additional insured. The policy shall provide for coverage of $1,000,000 per occurrence and $3,000,000 in the aggregate. The policy shall provide for thirty (30) days' written notice to BannerServant.com from the insurer (by Registered or Certified Mail return receipt requested) prior to any modification, cancellation or termination thereof. Publisher agrees to furnish BannerServant.com with a certificate of insurance evidencing same within ten (10) days after execution of this Agreement.

13. Force Majeure.

Neither party shall be deemed in default of these Terms and Conditions to the extent that performance of its obligations or attempts to cure any breach are delayed or prevented by reason of any act of God, fire, natural disaster, accident, riots, acts of government, shortage of materials or supplies, or any other cause beyond the reasonable control of such party; provided, that the party whose performance is affected by any such event gives the other party written notice thereof within three (3) business days of such event or occurrence.

14. General.

14.1 Entire Agreement.

These Terms and Conditions, together with the terms for each of the Programs constitutes the entire agreement between the parties and supersedes all prior agreements or understandings between the parties.

14.2 Controlling Law.

These Terms and Conditions, the terms of the Programs and the relationship contemplated thereby, shall be governed by the laws of the State of Oklahoma, without giving effect to principles of conflicts of law. Each party, to the extent permitted by applicable law, hereby irrevocably and unconditionally (i) submits to the general jurisdiction of the federal and state courts located in Oklahoma County, Oklahoma; (ii) agrees that any action or proceeding concerning this agreement will be brought exclusively in such courts; and (iii) waives any objection that it may now or hereafter have to the venue of any such action or proceeding in any such court or that such action or proceeding in any such court was brought in an inconvenient court and agrees not to claim or plead the same.

14.3. Waiver.

No waiver by either party of any breach of any provision hereof shall be deemed a waiver of any subsequent or prior breach of the same or any other provision.

14.5. Assignment.

Publisher may not assign any of its rights hereunder without the prior written consent of BannerServant.com, which may be withheld for any reason.

14.6. Severability.

In the event that any provision of these Terms and Conditions is found invalid or unenforceable pursuant to any judicial decree or decision, such provision shall be deemed to apply only to the maximum extent permitted by law, and the remainder of these Terms and Conditions shall remain valid and enforceable according to its terms.

14.7. Relationship.

The parties agree that BannerServant.com is acting as an independent contractor in performing the Services and that the relationship between the BannerServant.com and Publisher shall not constitute a partnership, joint venture or agency. Neither BannerServant.com nor any of BannerServant.com’s employees or agents (collectively referred to herein as the “Employees”) (i) is an employee, agent or legal representative of Publisher, or (ii) shall have any authority to represent Publisher or to enter into any contracts or assume any liabilities on behalf of Publisher. BannerServant.com retains all the rights and privileges of sole employer of its Employees, including, without limitation, the right to control, hire, discipline, compensate and terminate such Employees. Neither BannerServant.com nor any of its Employees shall have any right to receive any employee benefits as are in effect generally for Publisher employees.

14.8. Notice.

Any notice, communication or statement relating to these Terms and Conditions shall be in writing and deemed effective: (i) upon delivery when delivered in person; (ii) upon transmission when delivered by verified facsimile transmission or verified e-mail; or (iii) when delivered by registered or certified mail, postage prepaid, return receipt requested or by nationally-recognized overnight courier service to (a) Advertiser at the address provided in the registration, and support@bannerservant.com .

Information Collection

BannerServant.com is the sole owner of the information collected on BannerServant.com. BannerServant.com collects information from our users at several different points on our Web site.

Order

We request information from the user on our slider credit purchase process. A user must provide contact information (such as name, email, and shipping address) and financial information (such as credit card number, expiration date). This information is used for billing purposes and to fill customer’s orders. If we have trouble processing an order, the information is used to contact the user.

Profile

We store information that we collect through cookies, log files, clear gifs, and/or third parties to create a profile of our users. Clear Pixels

We employ a software technology called clear pixels, that help us better manage content on our site by informing us what content is effective. Clear gifs are tiny graphics with a unique identifier, similar in function to cookies, and are used to track the online movements of Web users. The main difference between the two is that clear gifs are invisible on the page and are much smaller, about the size of the period at the end of this sentence. Clear gifs are tied to users’ personally identifiable information to allow us to keep track of the orders of users that have entered our site via third-party advertising.

In addition, we use clear gifs in our HTML-based emails to let us know which emails have been opened by the recipients. This allows us to gauge the effectiveness of certain communications and the effectiveness of our marketing campaigns. If users would like to opt-out of these emails, please see the Opt-out section.

As a publisher on BannerServant, you have the ability to set the rate at which you sell your ads to advertisers. Our system allows you to offer your advertisers higher discount rates the more 'banner credits' they purchase with us. Please set your minimum and maximum costs below in a way that balances both your earnines as well as your advertiser's expected profit margins which can help grow your repeat business.

Note: The 'raw' system cost per click and cost per impression will be calculated based on your target 'blended' CPC and the approximate CTR input above.
Our system charges both for impressions and for clicks accordingly. This prevents advertisers who have horribly performing banners from running their campaigns for infinite time without any clicks.

As an example: with a 3.50 blended CPC and a 0.13% CTR our system charges your advertisers 0.44 cents per impression and 17.6 cents per click. Factoring in that it would take around 770 impressions to get one click (at those CTR's') then the blended cost per click at those prices (770 impressions at .44cents plus one click at 17.6cents) comes out to $3.50 blended CPC

Our reporting page will show you the actual blended CPC and actual average CTR for your advertisers. You will be able to adjust these in the future to sell credits at a rate that is both profitable for you and reasonable for your advertisers.
